Terms & Conditions

These Terms & Conditions (“Terms”) govern your application to and participation in The Inflection Room (the “Event”), including the Strategy Day, the Power Day, and the Enterprise Build. By booking, submitting an application, completing payment, and/or attending the Event, you (“Attendee,” “you”) agree to be bound by these Terms. If you do not agree, do not register for or attend the Event.

The Strategy Day is a one-day, in-person working session in Franklin, Tennessee (limited seats) covering measurement of your business, identification of leaks, and a roadmap. The Power Day is a one-day, 1:1, in-person session in Franklin, Tennessee covering measurement, leak identification, roadmap, and the installation of one AI system; a deposit holds your date. The Enterprise Build is a done-for-you engagement available by application only, and its scope, deliverables and pricing are set out in a separate written agreement. Dates are those confirmed to you at booking.

The Event is provided for educational and informational purposes only. It is not financial, legal, investment, accounting, or professional advice, and nothing presented should be relied upon as such.

The Strategy Day ($5,000) is paid in full at booking. The Power Day ($15,000) requires a $3,000 deposit at booking to hold your date, with the balance due as communicated to you. Enterprise Build pricing is set only in a separate written agreement. All payments are processed securely by a third-party payment processor; we do not receive or store your full payment card details. Any installment or payment-plan arrangement is valid only where expressly agreed in a separate written agreement. All prices are in U.S. dollars.

All payments are collected and processed by our holding company, Kinsmen Holdings LLC. Credit and debit card charges will appear on your card or bank statement as “Kinsmen Holdings LLC.” A discount of up to 10% may be offered for payments made by an approved non-card method (bank wire, Zelle, Venmo, or Cash App); card payments are charged the full published price. The applicable discount and payment instructions are shown to you before you complete your payment.

Strategy Day seats and Power Day dates are limited and booked on a first-come basis. The Enterprise Build is strictly application-only. The host reserves the right, in its sole discretion, to decline any application or to revoke any registration prior to the Event. Submitting an application does not guarantee a seat until it is approved and payment is completed.

You have a three (3) day right to cancel your purchase for a full refund, provided you submit your request in writing within three (3) calendar days of payment, the Event has not yet taken place, and you have not accessed or begun using any digital program materials, recordings, templates, playbooks, or roadmap materials. After that window closes, all sales are final and all payments are non-refundable, in whole or in part, because seats and dates are committed in advance. Strategy Day: if you attend in full and do not leave with your leak measured and your roadmap in hand, you may attend the next Strategy Day as the host’s guest at no charge. Power Day: the host will keep working with you until the system is live. These commitments apply only if you attend; they do not apply if you do not show up. Please review our Refund & Cancellation Policy, which is incorporated into these Terms by reference. In the event circumstances beyond the host’s reasonable control require the Event to be rescheduled, your registration will automatically transfer to the new dates.

You agree to conduct yourself professionally and respectfully toward the host, staff, and other attendees. The host reserves the right to remove any attendee who is disruptive, abusive, or otherwise interferes with the Event, without refund.

All materials, frameworks, systems, templates, presentations, and recordings provided in connection with the Event are the exclusive property of the host and are licensed to you for your own personal and internal business use only. You may not record the Event, or copy, reproduce, resell, distribute, publish, or create derivative works from any Event materials without the host’s prior written consent.

The Event is educational in nature. The host commits to working with you during the Event to help you build and deploy an AI system for your business. However, the host does not guarantee any specific result, income, revenue, or business outcome from attending or from any system built. Any examples of results, earnings, or income — whether presented by the host, staff, guests, or other attendees — are illustrative only, are not typical, and are not a promise or guarantee of your results.

Your results depend on many factors unique to you, including your own effort, skill, experience, business, market conditions, and execution. You accept full responsibility for the decisions you make and the actions you take following the Event. You acknowledge that you have not been promised, and are not relying upon, any representation of future earnings or success.

The Event involves the use of third-party artificial intelligence platforms and tools. You are solely responsible for creating your own accounts and for all associated platform, subscription, usage, credit, or token costs. The host does not control and is not responsible for the availability, pricing, features, performance, or terms of any third-party platform, which may change at any time.

To the maximum extent permitted by law, the host and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to the Event or these Terms. In all cases, the host’s total aggregate liability shall not exceed the amount you actually paid for your registration.

Strategy Days and Power Days are delivered in person in Franklin, Tennessee. You are responsible for your own travel, lodging, and related expenses, and for bringing any devices and account access needed to work on your business systems. The host is not responsible for your inability to attend due to travel or other issues outside the host’s control.

To protect the candor of the room, information shared by the host or other attendees during the Event — including business details, strategies, financials, and personal information — is confidential. You agree not to disclose or use any other participant’s confidential information outside the Event without their consent.

As part of registration and checkout, you are asked to type your full legal name and check one or more acknowledgment boxes to accept these Terms, the Refund & Cancellation Policy, the Privacy Policy, and the Earnings Disclaimer in Section 8. You agree that typing your name and submitting the form constitutes your valid electronic signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable law, and has the same legal effect as a handwritten signature. You consent to transact and enter into this agreement electronically.

To document your agreement, we record and retain your typed signature (name), the date and time of acceptance, the version of the agreement accepted, your IP address, and your device/browser information. You agree this record is admissible evidence of your acceptance of these Terms and our Refund & Cancellation Policy and may be used to contest any wrongful chargeback or payment dispute.

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict-of-laws principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in Hickman County, Tennessee for any dispute arising under these Terms.

The host may update these Terms from time to time. The updated version will be indicated by an updated “Last Updated” date and will be effective upon posting. Your continued participation following any change constitutes acceptance of the revised Terms.
